Terms and Conditions Agreement between Finder (Lost & Found Platform) and Corporate Licensee

This Terms and Conditions Agreement (the "Agreement") is entered into and effective as of [Effective Date], ("Effective Date") by and between Finder, a lost & found platform ("Finder"), and [Corporate Name], a corporation ("Licensee").

1. License Grant

1.1 Finder grants Licensee a non-exclusive, non-transferable license to use Finder's lost & found platform for the purpose of managing lost and found items within Licensee's business operations.

1.2 Licensee shall have the right to create and manage accounts for its employees or authorized personnel who will be using the Finder platform.

2. Payment and Fees

2.1 Licensee shall pay the agreed-upon license fee to Finder in accordance with the terms outlined in the invoice provided by Finder.

2.2 Finder reserves the right to modify the license fee upon prior written notice to Licensee.

3. Use of Finder Platform

3.1 Licensee agrees to use the Finder platform solely for the purpose of managing lost and found items within its business operations.

3.2 Licensee shall not use the Finder platform for any unlawful or unauthorized purpose.

4. Confidentiality

4.1 Both parties agree to keep confidential any proprietary or sensitive information shared during the term of this Agreement.

4.2 Licensee shall not disclose any confidential information about Finder's platform to third parties without prior written consent from Finder.

5. Support and Maintenance

5.1 Finder shall provide reasonable technical support and maintenance for the Finder platform to ensure its proper functioning within Licensee's operations.

5.2 Licensee shall promptly report any issues or malfunctions with the Finder platform to Finder for resolution.

5.3 Licensee shall not use any user information or corporate information obtained through the Finder platform for any purposes other than those directly related to the legitimate operations of Licensee's business.

5.4 Licensee shall implement appropriate security measures to protect the confidentiality and integrity of user information and corporate information obtained through the Finder platform, and shall not disclose such information to any third parties without the express consent of the respective users or corporations.

5.5 Licensee shall not engage in any practices that may compromise the privacy or security of users or corporations using the Finder platform, including but not limited to unauthorized data collection, sharing, or selling of personal information.

5.6 Licensee shall comply with all applicable data protection laws and regulations in the collection, processing, and storage of user information and corporate information obtained through the Finder platform, and shall indemnify and hold Finder harmless from any claims or liabilities arising from Licensee's breach of such laws and regulations.

6. Term and Termination

6.1 This Agreement shall commence on the Effective Date and shall remain in effect for a period of [Initial Term]. After the Initial Term, this Agreement shall automatically renew for successive [Renewal Term] terms unless terminated by either party with written notice.

6.2 Either party may terminate this Agreement upon written notice if the other party breaches any material term or condition of this Agreement.

7. Governing Law
